1. Scope and acceptance

1.1 Scope.

These Terms of Use govern access to and use of the SocialShade platform, website, dashboard, campaigns, messaging, payout features, analytics tools, support channels, and related services operated by the Company.

By accessing or using the Platform, creating an account, joining a campaign, clicking accept, or uploading content, the user agrees to these Terms and the Privacy Policy.

2. Accounts and platform access

2.1 Account security.

• Users must keep login credentials secure and are responsible for all activity under their account.

• Users must provide accurate, complete, and current information and update it promptly if it changes.

• The Company may require identity checks, ownership checks, and additional security steps at any time.

2.2 Prohibited uses.

• Attempting to interfere with platform security, code, APIs, anti-fraud systems, moderation workflows, or other users.

• Scraping, automated extraction, reverse engineering, or creating derivative services from the Platform except as permitted by mandatory law.

• Using the Platform for unlawful, fraudulent, abusive, defamatory, or infringing conduct.

• Misrepresenting campaign performance, identity, or relationship with an advertiser or with the Company.

3. Campaign participation and submissions

3.1 Campaign rules.

Campaign cards, payout screens, FAQs, press kits, moderation notices, and partner instructions form part of the applicable rules. The Company may moderate, reject, remove, or limit submissions in its discretion consistent with those rules and applicable law.

3.2 No entitlement.

Registration or campaign visibility does not create any right to campaign admission, submission approval, payout, or continued platform access.

3.3 User responsibility for submissions and public reaction.

Each user is solely responsible for all content, posts, captions, statements, comments, disclosures, links, and materials created, uploaded, published, or submitted by that user. The Company, SocialShade platform, and any campaign partner are not responsible or liable for user content or for any allegation, complaint, investigation, enforcement action, reputational issue, public backlash, offense, or dispute arising from such content, including where it is alleged to violate applicable law, regulation, third-party rights, platform rules, or cultural, ethical, religious, social, or moral beliefs or sensitivities. The Company may moderate, reject, remove, report, or distance itself from such content at its sole discretion.

4. Fees, payouts, taxes, and offsets

4.1 Payout mechanics.

Any payout or earnings feature is subject to campaign validation, fraud checks, cap limits, payment thresholds, and method availability. The Company may refuse unsupported methods, impose reserves, or request additional information before releasing funds.

4.2 Taxes.

Users are solely responsible for taxes, declarations, withholding obligations, invoices, and reporting arising from payouts or use of the Platform, except to the extent the law mandatorily requires the Company to withhold or report.

5. Company rights over platform operation

5.1 Platform changes.

The Company may modify, suspend, discontinue, or replace any feature, campaign functionality, user interface, eligibility standard, or payment process at any time. The Platform may be unavailable from time to time for maintenance, security work, partner outages, or force majeure.

5.2 Enforcement.

The Company may investigate misuse, preserve evidence, cooperate with advertisers and authorities, remove content links, suspend accounts, decline payouts, recover overpayments, and take any lawful step reasonably necessary to protect the Platform, its partners, and its users.

6. Platform IP and user content

6.1 Platform IP.

All rights in the Platform, including software, interfaces, text, graphics, data compilations, logos, trademarks, moderation systems, and campaign infrastructure, belong to the Company or its licensors. No rights are granted except as expressly stated.

6.2 User content licence.

Where users upload content or materials to the Platform, they grant the Company and the applicable campaign partner a non-exclusive, worldwide, transferable, sublicensable, royalty-free licence to host, store, review, reproduce, display, publish, distribute, repost, adapt, excerpt, and otherwise use such content as necessary to operate the Platform, enforce rules, verify claims, perform agreements, promote the Platform, market the relevant campaign, and support lawful advertising, sales, case study, and commercial communications. Following any payout relating to campaign content, these rights may continue on a perpetual basis for the Company and the applicable campaign partner in relation to the exact campaign and related marketing uses.

6.3 Public reference to cooperation.

The Company and the applicable campaign partner may publicly state that they cooperated with a user or creator in connection with a campaign and may identify the relevant creator, handle, channel, or submitted campaign video in websites, decks, social posts, advertisements, case studies, partner materials, and other commercial communications relating to the Platform or the exact campaign.

7. Third-party services and external platforms

7.1 Third-party dependencies.

The Platform may interact with third-party payment providers, social media platforms, hosting providers, analytics providers, and communication services. The Company is not responsible for third-party outages, policy changes, suspended accounts, withheld payments, or platform-specific enforcement by those providers.

8. Disclaimers, liability limit, and indemnity

8.1 Disclaimers.

To the fullest extent permitted by law, the Platform is provided as available and as is, without warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, error-free operation, or guaranteed business results.

8.2 Liability limit.

To the fullest extent permitted by law, the Company’s aggregate liability arising from the Platform shall not exceed the greater of: (a) the fees, if any, paid by the user to the Company in the preceding twelve (12) months; or (b) USD 100, except where a higher minimum liability is required by non-excludable law. The Company does not assume responsibility for user-generated content, user legal compliance, or public reaction to submissions.

8.3 Indemnity.

User shall indemnify and hold harmless the Company from claims, losses, penalties, and expenses arising out of the user’s breach, misuse, content, fraud, unlawful promotion, or rights violations.

9. Governing law and changes

9.1 Law and forum.

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The competent courts of Dubai have jurisdiction, unless the Company elects another competent forum available by law for protective or enforcement relief.

9.2 Updates.

The Company may update these Terms at any time by posting the revised version on the Platform. Continued use after the effective date of an update constitutes acceptance of the revised Terms.
